Terms and Conditions

These terms and conditions govern your use of the software solutions provided by encoded through our Microsoft Azure cloud microservice infrastructure. By accessing or using our software solutions, you agree to comply with these terms and conditions. If you do not agree with any part of these terms, you may not use our software solutions.

encoded and all associated products and services are operated by Oktain Ltd., registered in the Republic of Cyprus. The name encoded is a trade name used to identify a division of Oktain Ltd.

1. License and Usage

Upon subscription and payment of the applicable fees, encoded grants you a non-exclusive, non-transferable license to access and use our software solutions. The license is subject to the terms outlined in this agreement and is limited to the duration of your subscription. You may not sublicense, distribute, or otherwise transfer the software or any rights granted under this agreement.

2. Data Processing and Storage

By using our software solutions, you agree to the processing and storage of your data in Germany, as outlined in our Privacy Policy. encoded ensures compliance with all applicable data protection laws and regulations, including the General Data Protection Regulation (GDPR).

3. Fees and Payment

Our software solutions are provided on a subscription basis, with fees payable monthly or annually, as selected by the customer. Payment is due in advance for each subscription period. Failure to pay the applicable fees may result in suspension or termination of your access to the software solutions.

4. Services

In addition to software solutions, encoded provides services such as product design, tech consulting, marketing, audio-visual production, 3D modeling, and architecture. These services are charged on an hourly basis and are subject to the terms outlined in separate agreements.

5. Limitation of Liability

encoded shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of our software solutions. Our liability shall be limited to the amount paid by you for the subscription fees during the preceding twelve-month period.

6. Governing Law and Jurisdiction

These terms and conditions shall be governed by and construed in accordance with the laws of the Republich of Cyprus. Any dispute arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of the Republic of Cyprus.

7. Amendments

encoded reserves the right to amend these terms and conditions at any time without prior notice. Any changes will be effective immediately upon posting on our website.
